Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Portfolio Galaxy ("Portfolio Galaxy", "we", "us"). They cover your use of the website at portfoliogalaxy.xyz and the portfolio visualization service offered there (the "Service"). By signing in, subscribing or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. Eligibility

You must be at least 18 years old, and of the age of majority where you live, to use the Service. You must also be able to form a binding contract. By using the Service, you confirm that you meet these requirements and that using the Service doesn't break any law that applies to you.

3. Your account

You sign in with your Google account. You're responsible for keeping that account secure and for everything that happens under your Portfolio Galaxy account. Your subscription is for you personally. Don't share your account or give anyone else access to it. If you think someone has used your account without permission, tell us right away.

4. What the Service does

Portfolio Galaxy lets you enter a public blockchain wallet address and see that wallet's token, DeFi and other positions as an interactive visualization. The Service is read-only. It never connects to your wallet, never asks for your private keys or seed phrase, and can't move, trade or control any assets. Never share your private keys or seed phrase with anyone, including anyone claiming to be from Portfolio Galaxy.

Portfolio data, prices, values and 24-hour changes come from third-party data providers and public blockchains. That data may be incomplete, delayed, mislabelled or wrong, and some assets, chains or positions may not be supported. We don't check this data for accuracy and don't guarantee it.

You can save wallet addresses under names you choose ("Saved wallets"). You're responsible for those names. Don't use them to store passwords, private keys, seed phrases or other people's personal information. We may limit how many wallets you can save. Saved wallets are a convenience, not a backup, so keep your own records of any address that matters to you.

5. Not financial advice

Nothing in the Service is financial, investment, tax, legal or accounting advice, or a recommendation to buy, sell or hold any asset. The Service is for information only. Crypto-assets are highly volatile and risky, and you could lose some or all of their value. Don't rely on the Service when making financial decisions. Check important information independently, and talk to a qualified professional where appropriate. You alone are responsible for your decisions.

6. Subscriptions, billing and cancellation

Price and billing

Full access to the Service needs a paid subscription. The price, currency and billing period are shown before you subscribe. Payments are processed by Stripe under Stripe's terms. We never receive or store your full card details. Prices may not include taxes. Where taxes apply, they will be added and shown at checkout.

Automatic renewal

Your subscription renews automatically at the end of each billing period, and you'll be charged the then-current price using your saved payment method, until you cancel. By subscribing, you authorize these recurring charges.

Cancelling

You can cancel at any time from the billing portal in the app. When you cancel, your subscription stops renewing, and you keep access until the end of the billing period you've already paid for.

Refunds

Payments are non-refundable, and we don't give refunds or credits for partly used billing periods, except where the law requires us to or where we decide to at our discretion. If you think you've been charged in error, contact us within 30 days of the charge and we'll look into it in good faith.

Failed payments

If a payment fails, access to paid features may be suspended until the payment succeeds.

Price changes

We may change the subscription price. We'll give you reasonable advance notice, at least 30 days, by email or in the Service. The new price applies from your next billing period after the notice period ends. If you don't want to pay the new price, you can cancel before then.

7. Acceptable use

You agree not to:

• get around, disable or interfere with sign-in, the paywall, usage limits or any other security or access control,
• access the Service through bots, scrapers or other automated means, or make requests at a volume that goes beyond normal personal use,
• resell, sublicense, rent or commercially redistribute the Service or its data, or build a competing product from it,
• reverse engineer, decompile or try to extract the Service's source code, except where the law allows this despite this restriction,
• upload or send malware, or try to probe, scan or test the Service for vulnerabilities without our written permission,
• use the Service to harass, stalk, threaten or harm anyone, or for any illegal purpose, including breaking sanctions or anti-money-laundering laws, or
• impersonate anyone or misrepresent your connection with anyone.

If you find a security issue, please report it to us privately. We welcome responsible disclosure.

8. Our intellectual property

Portfolio Galaxy and its licensors own the Service, including its software, design, visualizations, text and branding. While you have an active subscription and follow these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes. We keep all rights not expressly granted. You may save or share screenshots of your own visualizations for personal, non-commercial use.

If you send us feedback or suggestions, we may use them freely, with no obligation to you.

9. Third-party services

The Service relies on third parties, including Google (sign-in), Stripe (payments), Zerion (portfolio data), Railway (hosting) and Supabase (database), and links to third-party sites such as block explorers. We don't control these third parties and aren't responsible for their services, content, availability or actions. Your use of them may be subject to their own terms.

10. Availability and changes to the Service

We work to keep the Service running reliably, but we don't promise it will always be available, uninterrupted or error-free. We may change, suspend or discontinue features, supported chains or the whole Service. If we discontinue the Service entirely, we'll give you reasonable notice where we can, stop future billing, and give you a pro-rated refund for any prepaid period you haven't used.

11. Suspension and termination

You can stop using the Service at any time. We may suspend or end your access if you materially breach these Terms, if your use creates a security, legal or abuse risk, or if the law requires it. Where it's reasonable, we'll give you notice and a chance to fix the problem first. If we end your access without cause, we'll refund any prepaid period you haven't used. If we end it because you breached these Terms, no refund is due except where the law requires one. Sections 5, 8, 12, 13, 14, 16 and 17 continue to apply after termination.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory. This includes any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation.

Some jurisdictions, including some Canadian provinces, don't allow certain warranties to be excluded. In those jurisdictions, the above exclusions apply only as far as the law allows.

13. Limitation of liability

To the fullest extent permitted by law, Portfolio Galaxy and its operators, affiliates and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, investment losses, lost data or loss of goodwill, arising out of or relating to the Service or these Terms. This includes losses from relying on data shown in the Service. Our total liability for all claims relating to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim.

Nothing in these Terms limits or excludes liability that can't be limited or excluded by law, such as liability for fraud, gross negligence, intentional misconduct, or death or personal injury caused by negligence.

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold Portfolio Galaxy harmless from third-party claims, losses and reasonable costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.

15. Consumer rights

If you are a consumer, you may have rights under the consumer protection laws of your province, territory or country that can't be waived or limited by contract. Nothing in these Terms affects those rights. If any part of these Terms conflicts with those laws, those laws prevail for that part.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Before starting any formal proceeding, please contact us so we can try to resolve the issue informally. If a dispute isn't resolved within 30 days, it may be brought before the courts of Alberta, and you and we agree to their jurisdiction. If the law of your place of residence gives you the right to bring a claim in your local courts or under your local law, this section doesn't take that right away.

17. General

• Changes to these Terms. We may update these Terms. For material changes, we'll give you at least 30 days' notice by email or in the Service before they take effect. If you keep using the Service after that, the updated Terms apply. If you don't agree, you can cancel before they take effect.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• Severability. If any part of these Terms is found unenforceable, that part is limited as little as necessary, and the rest stays in effect.
• No waiver. If we don't enforce a part of these Terms, that doesn't mean we've given up the right to enforce it.
• Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of the Service, with notice to you.
• Events beyond our control. We're not responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, blockchain network problems, or natural disasters.
• Language. The parties have required that these Terms and all related documents be drawn up in English. Les parties ont exigé que les présentes conditions et tous les documents connexes soient rédigés en anglais.
